DISCLAIMER OF WARRANTIES
OUR WEBSITE IS PROVIDED TO YOU “AS IS” AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE WEBSITE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, WE MAKE NO WARRANTY OR REPRESENTATION THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES OR THE LIMITATIONS ON THE APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OR ANY OF OUR AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS, HAVE ANY LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE FOR:
PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES.
THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OR ALL OF THE ABOVE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU. NOTHING IN THIS SECTION WILL BE INTERPRETED AS EXCLUDING OR LIMITING LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF UNIFIED, AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED USD $100.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Unified and its officers, directors, employees, agents, affiliates, successors, and assigns from and against all third-party claims, losses, damages, liabilities, judgments, settlements, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, arising out of or relating to: (a) your breach of these terms; (b) your use or misuse of the website; (c) your violations of law or any third-party rights, including intellectual property or other proprietary rights; or (d) your gross negligence or willful misconduct. We reserve the right to control the defense of any claim for which we are entitled to indemnification, and you agree to cooperate as reasonably requested by us.
GOVERNING LAW AND JURISDICTION
All matters relating to the website or these Terms, and any dispute or claim arising from or related to the website or these Terms (including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice-of-law or conflict-of-law rule.
ARBITRATION
Any claim or controversy at law or equity between you and Unified or any of its parents, subsidiaries, affiliates, affiliated practices, and their respective officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the “Unified Parties”) that arises out of or relates to this website or these Terms of Use (each a “Claim”), shall first be submitted to mediation in an attempt to settle it amicably and in good faith. To begin the process of mediation, you must first send a written notice of claim that includes your name, address, and email address, a description of the nature of the dispute, and the relief you seek, to 4010 W. Boy Scout Blvd, Suite 500, Tampa, FL 33607, Attn: Legal Department. If the Claim is not resolved within thirty (30) days after the notice of claim is received, the Claim must be settled by final and binding arbitration before one (1) arbitrator administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules, as amended and in effect from time to time (the “Rules”). The arbitration will be held in Tampa, Florida, except that, if you reside more than 100 miles from Tampa, the arbitration may be conducted within 100 miles of your residence or by telephone or video conference, unless the parties agree otherwise in writing. The arbitrator may award injunctive or declaratory relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual Claim. Payment of all filing, administration, and arbitrator fees will be governed by the Rules; if you are able to show that your portion of such fees would be prohibitive as compared to litigation costs, Unified will pay as much of those fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. Nothing in this paragraph shall prevent you or Unified from (i) bringing an individual action in small claims court for Claims within the scope of its jurisdiction, or (ii) seeking injunctive or other equitable relief from any state or federal court located in Hillsborough County, Florida to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or unauthorized access to the website. You and Unified consent to the exclusive jurisdiction and venue of such courts with respect to any matter not within the arbitrator’s jurisdiction. Any award of the arbitrator may be enforced in any court of competent jurisdiction. All arbitration proceedings are confidential, except that arbitration orders and awards required to be filed with courts of competent jurisdiction may be disclosed to such courts. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND UNIFIED EACH WAIVE ANY RIGHT TO A JURY TRIAL. The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. (“FAA”), shall govern the interpretation and enforcement of this Mutual Arbitration Agreement. Each of the Unified Parties is an intended third-party beneficiary of this Mutual Arbitration Agreement and may enforce it, and references to “Unified” in this Mutual Arbitration Agreement and the No Consolidation section include the Unified Parties where the context so requires.
The arbitrator(s) shall have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision including any unconscionability challenge or any other challenge that the arbitration provision or these Terms is void, voidable or otherwise invalid.
You may opt out of this Mutual Arbitration Agreement by sending written notice, including your name, residence address, email address, and a clear statement that you wish to opt out of arbitration, to 4010 W. Boy Scout Blvd, Suite 500, Tampa, FL 33607, Attn: Legal Department – Arbitration Opt-Out, within thirty (30) days after you first use the website on or after the effective date of these Terms of Use. Opting out of this Mutual Arbitration Agreement will not affect any other provision of these Terms of Use. If you opt out, or if any Claim is otherwise not subject to arbitration, such Claim shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you and Unified consent to the personal jurisdiction and venue of such courts. If we make any future material change to this Mutual Arbitration Agreement, that change will not apply to any Claim for which a notice of claim was provided before the change. This Mutual Arbitration Agreement survives any termination of these Terms of Use.
NO CONSOLIDATION
YOU AND UNIFIED AGREE THAT ANY CLAIM SHALL BE ARBITRATED OR LITIGATED, AS THE CASE MAY BE, ON AN INDIVIDUAL BASIS ONLY – NOT AS A PLAINTIFF, REPRESENTATIVE, OR MEMBER OF A CLASS – AND EACH EXPRESSLY WAIVES ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. Unless you and Unified agree otherwise in writing, the arbitrator may not consolidate more than one person’s Claims and may not otherwise preside over any form of class or representative proceeding. The AAA Mass Arbitration Rules and AAA Multiple Consumer Case Filing Fees shall apply when twenty-five (25) or more similar claims are asserted against Unified by the same or coordinated counsel or are otherwise coordinated where representation of the parties is consistent or coordinated across the cases (and your claim is one of them) (“Mass Arbitration”). In the event of a Mass Arbitration, the parties shall cooperate to group cases into batches of at least twenty-five and no more than one hundred cases each (a “Batch”), with each Batch having its own administrative documents and filing fees. If a decision is issued stating that applicable law precludes enforcement of any of this section’s limitations as to a particular Claim or request for relief, then that Claim or request for relief (and only that Claim or request for relief) shall be severed from the arbitration and may be brought in the state or federal courts located in Hillsborough County, Florida, and shall be stayed until all Claims remaining in arbitration are finally resolved.
LIMITATION ON TIME TO FILE CLAIMS
UNLESS PROHIBITED BY LAW, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
WAIVER AND SEVERABILITY
If you do not comply with these terms and we don’t take action right away, we are not giving up any rights we may have, including the right to act on subsequent or similar breaches by you or others. A waiver will only be binding on Unified if it is in a written document signed by Unified.
If any provision of these terms is held by a court of competent jurisdiction or arbitrator to be illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect, and, where possible, the affected provision will be modified to the extent necessary to make it enforceable, which may include its deletion.
CHANGES TO THESE TERMS
We may modify these terms or any additional terms that apply to the website to, for example, reflect changes to the law, our website, or the services offered through it. You should look at the terms regularly. We will post notice of modifications on this page. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a service, you must discontinue your use of that service. Your continued use of the website after the modified terms become effective constitutes your acceptance of the modified terms.
ASSIGNMENT
These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Unified without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
ENTIRE AGREEMENT
These Terms of Use and all documents referenced herein constitute the sole and entire agreement between you and us with respect to your use of the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, written or oral. In entering into these terms, neither you nor Unified has relied on any statement, representation, warranty, or assurance other than those expressly stated in these terms. The preceding sentence will not limit or exclude any liability that cannot be limited or excluded under applicable law. No one other than you and Unified, or Unified’s successors and assigns, will have any right to enforce any of these terms, except as provided in the Arbitration section. Neither these terms nor the website creates a partnership, joint venture, employment, or other agency relationship between us.
INTERPRETATION
The section headings in these Terms of Use are for convenience only and have no legal or contractual effect. The words “include,” “includes,” and “including” will be deemed to be followed by “without limitation,” and the word “or” is not exclusive. These Terms of Use will not be construed against Unified by reason of its having drafted them.
FORCE MAJEURE; SURVIVAL
Unified will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, pandemics, cyberattacks, acts of civil or military authorities, fire, floods, or failures of utilities or telecommunications. Upon any termination of your access to the website, all provisions of these terms which by their nature should survive will survive, including the Proprietary Rights, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Arbitration, No Consolidation, and Limitation on Time to File Claims sections.
